These Terms of Service (“Terms”) govern your access to and use of pnwitsolutions.com (the “Site”) and the services provided by PNW IT Solutions (“we,” “us,” “our”). By using the Site, creating a customer account, or engaging us for services, you agree to these Terms. If you do not agree, please do not use the Site.

1. Our services

PNW IT Solutions is a Pacific Northwest web design agency. We offer:

  • Custom WordPress design and development.
  • Site setup, migration, and SiteGround hosting configuration.
  • Ongoing care plans (security, backups, updates, monitoring, content edits).
  • Custom development, integrations, and consulting.

The exact scope, deliverables, timeline, and price for any engagement are agreed in a separate written proposal, statement of work, or order confirmation (“Order”). If anything in an Order conflicts with these Terms, the Order controls for that engagement.

2. Eligibility & accounts

You must be at least 18 years old and able to enter a binding contract to use the Site or engage our services. If you create a customer portal account, you agree to:

  • Provide accurate, current, and complete information.
  • Keep your password confidential and not share your account.
  • Notify us immediately if you suspect unauthorized access.

You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms.

3. Fees, billing & subscriptions

  • Project work is billed per the Order — typically a deposit before kickoff and the balance at milestones or at delivery.
  • Care plans & subscriptions renew automatically at the interval shown at signup (monthly or annually) until canceled.
  • Late payments: invoices are due on receipt unless the Order states otherwise. Past-due balances may pause work and accrue late fees up to the maximum allowed by law.
  • Taxes: prices exclude applicable taxes; you are responsible for sales tax, VAT, or similar.
  • Refunds: care-plan subscriptions can be canceled at any time and will not renew, but charges already incurred for the current billing period are non-refundable. Project deposits are non-refundable once work has started, except as required by law.

4. Cancellation

You can cancel a care-plan subscription at any time from your customer portal or by emailing hello@pnwitsolutions.com. Cancellation takes effect at the end of the current billing period. Either party may terminate a project engagement for convenience with written notice — you remain responsible for paying for work completed and expenses incurred up to the termination date.

5. Your responsibilities as a client

  • Provide content, brand assets, access credentials, and feedback within the timelines we agree on. Project schedules depend on you keeping pace.
  • Ensure you have the right to use any content you provide (copy, images, logos, fonts, plugins) and that it doesn’t infringe anyone’s rights.
  • Keep your hosting, domain, and third-party plugin licenses current. We can manage these for you under a care plan; otherwise, they’re your responsibility.
  • Comply with applicable laws when running your site (privacy, accessibility, advertising, e-commerce, etc.).

6. Intellectual property

  • Your content remains yours. You grant us a license to use it as needed to deliver the services.
  • Final deliverables: upon full payment, you own the bespoke design and code we produce specifically for your project, except for components carved out below.
  • Pre-existing & reusable IP: any tools, libraries, frameworks, mu-plugins, snippets, or templates we developed before or outside your project remain ours, and we grant you a perpetual, non-exclusive license to use them as part of your delivered site.
  • Third-party software: WordPress core, themes, and plugins are licensed by their respective owners (typically GPL or commercial licenses) — those licenses apply, not ours.
  • Portfolio rights: we may reference your project in our portfolio, case studies, and marketing unless you ask us not to in writing.

7. Acceptable use

You agree not to:

  • Use the Site or services for unlawful, harmful, fraudulent, or infringing purposes.
  • Probe, scan, or attack the Site, attempt to bypass security, or interfere with other users.
  • Use automated means (bots, scrapers) to extract data from the Site without our written consent.
  • Submit false, misleading, malicious, or spam content through the contact form or any other input.
  • Reverse-engineer, resell, or sublicense our services without written agreement.

We may suspend or remove accounts and content that violate these rules and report unlawful activity to authorities.

8. Confidentiality

Each party agrees to protect the other’s non-public business information shared during an engagement, use it only to deliver or receive the services, and not disclose it to third parties without consent — except to vendors helping deliver the services or as required by law.

9. Third-party services

The Site and our services rely on third-party providers (hosting, payment processing, email, anti-spam, plugins). We are not responsible for outages, data loss, or actions of those providers, but we will work in good faith to minimize and resolve any impact on you.

10. Disclaimers

The Site and services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties — express or implied — including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not guarantee specific search rankings, conversion rates, traffic, revenue, or business results.

11. Limitation of liability

To the fullest extent permitted by law, PNW IT Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, lost goodwill, or business interruption — arising from your use of the Site or services. Our total aggregate liability for any claim arising under these Terms or any Order will not exceed the amounts you paid us in the 12 months preceding the event giving rise to the claim. Some jurisdictions don’t allow these limits, so they may not apply to you in full.

12. Indemnification

You agree to defend, indemnify, and hold harmless PNW IT Solutions and its owners, employees, and contractors from any claim, demand, damage, or expense (including reasonable attorneys’ fees) arising out of (a) your breach of these Terms, (b) content you provide for use on your site, or (c) your use of the Site or services in violation of law or third-party rights.

13. Governing law & disputes

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws rules. The exclusive venue for any dispute arising out of these Terms is the state or federal courts located in Washington, and both parties consent to that jurisdiction. We’ll always try to resolve disputes informally first — please email hello@pnwitsolutions.com before pursuing formal action.

14. Force majeure

Neither party is liable for delays or failures caused by events outside reasonable control — including natural disasters, internet outages, hosting-provider failures, government actions, labor disputes, or pandemic.

15. Changes to these Terms

We may update these Terms from time to time. The “Effective date” at the top reflects the most recent revision. Material changes will be announced on this page and, where appropriate, by email. Continued use of the Site or services after changes take effect means you accept the updated Terms.

16. Miscellaneous

  • Entire agreement: these Terms plus any signed Order are the entire agreement between us regarding the services.
  • Severability: if a provision is found unenforceable, the rest remains in effect.
  • Waiver: failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment: you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • No partnership: nothing in these Terms creates a joint venture, partnership, or employer-employee relationship.
